Trade Account Terms

1. About these terms
These terms govern applications for and use of an EaseThat trade account. They sit alongside the Website Terms, Privacy Policy and, when you purchase goods or services, the B2B Terms of Sale and any quotation, statement of work or other written agreement that applies.
2. Eligibility and authority
You must apply on behalf of a genuine business, public body, charity, professional practice or other organisation and have authority to provide the information submitted and to use the account for that organisation. EaseThat may ask for reasonable additional information before approving an application.
3. Information supplied
You must provide accurate and reasonably current organisation and contact information. A VAT number is optional because not every organisation is VAT registered. Where supplied, it may be used for account and invoicing administration but is not represented as independently verified unless EaseThat expressly confirms that verification has taken place.
4. Manual review and approval
New applications are reviewed by an authorised EaseThat administrator. EaseThat does not use solely automated decision-making to determine whether a trade account is approved or rejected. We may approve, decline or request further information based on the business information available and legitimate operational, security and commercial considerations.
5. No automatic credit facility
Approval of a trade account does not create a credit account, credit limit, deferred-payment entitlement or financing arrangement. Unless separate written credit terms have been expressly agreed, purchases must be paid using the payment method and timing applicable to the order.
6. Orders remain subject to acceptance
Trade-account approval does not guarantee pricing, stock, supplier availability, lead times or order acceptance. Each order remains subject to the B2B Terms of Sale and any order-specific quotation or contract.
7. Account security
You are responsible for protecting login credentials and limiting access to authorised personnel. You must notify EaseThat promptly if you believe credentials have been compromised, an authorised user has left your organisation, or the account is being used without authority.
8. Account use
The account must be used only for legitimate business purchasing, account management and communications with EaseThat. It must not be used for unlawful activity, fraud, impersonation, unauthorised resale representations, security testing or misuse of the website.
9. Suspension, rejection and closure
EaseThat may reject an application or suspend/close an account where reasonably necessary, including for inaccurate information, suspected misuse or fraud, security risk, non-payment, breach of applicable terms, inactivity or where continued access would create a material legal or operational risk. Where appropriate, we will provide a reasonable explanation or opportunity to clarify information.
10. Privacy and records
Trade-account information is handled in accordance with the Privacy Policy. EaseThat records the version/date of the Trade Account Terms accepted during registration to maintain an administrative audit trail.
11. Changes to these terms
EaseThat may update these terms where reasonably required to reflect changes to the account service, law, security or business processes. Material changes affecting existing trade customers may be notified through the website, account area or business email where appropriate.
12. Closing your account
You may ask EaseThat to close a trade account by contacting info@easethat.co.uk. Closure does not remove outstanding contractual, payment, warranty, accounting or legal obligations, and some records may need to be retained as described in the Privacy Policy.
13. Governing law
These Trade Account Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction unless another written agreement expressly provides otherwise.
